Agreement to Terms
By using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our services. These Terms constitute a legally binding agreement between you and Globaxify Inc.
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services following any changes indicates your acceptance of the revised Terms.
Our Services
Globaxify provides professional e-commerce development services, specializing in Shopify and Shopify Plus solutions. Our comprehensive service offerings include:
Store Development
Custom Shopify store setup and theme development
UI/UX Design
Custom theme design and user experience optimization
Custom Development
Liquid coding and custom functionality implementation
Migration Services
Platform migration from WooCommerce, Magento, etc.
App Integration
Third-party app setup and custom API integrations
Support & Maintenance
Ongoing technical support and store maintenance
Service Scope: The specific services, deliverables, timelines, and pricing will be detailed in a separate Statement of Work (SOW) or Project Agreement executed between you and Globaxify.
Client Obligations
To ensure successful project completion, you agree to fulfill the following responsibilities:
- Timely Provision of Materials: Provide all necessary content, images, logos, brand guidelines, and account access credentials within agreed timeframes
- Feedback & Approvals: Review deliverables promptly and provide clear, consolidated feedback within specified review periods
- Payment Obligations: Make all payments according to the agreed schedule and payment terms
- Legal Compliance: Ensure all provided materials comply with applicable laws and do not infringe third-party rights
- Single Point of Contact: Designate a primary contact person for project communications and decisions
We reserve the right to refuse service to any client whose business activities violate these prohibitions or applicable laws.
Payments & Fees
Our payment terms are designed to be fair and transparent, ensuring mutual commitment to project success:

- Payment Methods: We accept bank transfers, credit cards, PayPal, and Upwork payments
- Late Payments: Payments not received within 7 days of due date may incur a 1.5% late fee per month
- Project Hold: Work may be suspended if payments are delayed beyond 14 days
- Currency: All fees are quoted and payable in USD unless otherwise specified
Refund Policy
Due to the nature of digital services, refunds are provided at our sole discretion. The advance payment is non-refundable once work has commenced. Refund requests will be evaluated based on work completed and project circumstances.
Intellectual Property Rights
Intellectual property rights are handled as follows to protect both parties:
Client Materials
You retain all rights to your pre-existing materials, logos, content, and brand assets provided to us for the project.
Our Pre-existing IP
We retain ownership of our proprietary frameworks, code libraries, tools, and methodologies used in delivering services.
Custom Deliverables
Upon full payment, you receive ownership of custom designs, code, and deliverables specifically created for your project.
Third-Party Assets
Licensed third-party assets (themes, apps, stock photos) remain subject to their original license terms.
License to Globaxify: You grant us a limited license to use your materials solely for the purpose of providing services. We may use anonymized project examples in our portfolio unless you request a Non-Disclosure Agreement (NDA).
Confidentiality & NDA
We understand the sensitive nature of business information and are committed to maintaining strict confidentiality:
- Confidential Information: Includes business plans, customer data, financial information, technical specifications, and proprietary processes
- Protection Measures: We implement industry-standard security protocols and restrict access to authorized personnel only
- NDA Availability: We are happy to sign a mutual Non-Disclosure Agreement upon request before discussing project details
- Duration: Confidentiality obligations survive termination of services and remain in effect for 3 years
Termination
Either party may terminate the service agreement under the following conditions:
By Client
You may terminate with 14 days written notice. Fees for completed work are due and payable.
By Globaxify
We may terminate immediately for non-payment, breach of terms, or unethical business practices.
Effects of Termination: All outstanding payments become immediately due; we deliver all completed work; pro-rata refunds may be considered; confidentiality provisions survive termination.
Limitation of Liability
To the maximum extent permitted by applicable law:
- Indirect Damages: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- Liability Cap: Our total liability shall not exceed the total amount paid by you for the specific project
- Force Majeure: We are not liable for failures or delays caused by circumstances beyond our reasonable control
- Third-Party Services: We are not responsible for issues arising from third-party services or platform outages
Dispute Resolution
We believe in resolving disputes amicably and efficiently:
- Good Faith Negotiation: Parties will first attempt to resolve any dispute through good faith direct negotiation
- Mediation: If negotiation fails, parties will attempt mediation with a mutually agreed neutral mediator
- Arbitration: Unresolved disputes will be submitted to binding arbitration under ICC rules
- Governing Law: These Terms are governed by the laws of [Your Jurisdiction]
